Welcome back to another episode of The Vampire Squid! Today, we will be talking about Initial Public Offerings (IPO’s). This is an episode that gives an inside look as to how private companies, investment banks, and lawyers work together to go through this long and arduous process going from private to public.

  1. IPO Overview
    • What are the reasons that a company would want to go through an IPO?
  2. Steps for an IPO from start to finish
    • Bakeoff (usually no pastries….)
    • S-1 Drafting process
    • Roadshow
    • Pricing IPO for institutional investors
    • Opening the stock and ringing the bell on first day of public trading
    • What is a “successful” vs. a “botched” IPO
  3. Recent and notable IPO’s in the past

As always, please let me know if you have any questions, comments, or suggestions. Email me directly at alan@thevampiresquid.com or on the contact form.

Hi Alan, i have been listing to all your podcast and its brilliant. I have a question as when you said in this podcast that when a private company wants to go public it has to issue IPOs, and before it issues IPO's to the public it issues the shares to the institutions( like mutual funds, hedge funds etc) at discounted price to maintain the price volatility. So my question is that who decides the price at which the shares should be issued to the public? and for instant i own a company and I have subscription of 100 shares and i motivated 2 institutions to buy my shares at discounted price(in return of taking risk) before it goes to public. Does that mean i have to sell all my 100 shares to the institutions and once the shares go public they will sell it to the public at higher price?. i would really appreciate if you could clear this doubt of mine.
